Welcome to our website thesanctuary.energy (the “Site”). These General Terms and Conditions of Use govern the access to and use of the Site. This Site is operated by Worthy Beings LLC, a company registered under the laws of California (“The Sanctuary” or “we”). The words “user”, “you” and “your” in these General Terms and Conditions of Use refer to a user of the Site.

1. Users

By accessing, browsing or using the Site and/or its services, you represent and warrant that you are at least eighteen (18) years of age and you will only use the Site and its services for non-commercial purposes and in a personal capacity.

By using the Site you represent that you have read, understood and agree to be bound by the Website Policies (as defined below). If you do not agree to the Website Policies, please do not access or use the Site. The Sanctuary reserves the right to modify and/or discontinue the Site, at any time, for any reason and without notice.

The Sanctuary reserves the right to refuse registration of and/or cancel an account in its sole discretion and to terminate an account, should you be in violation of any provision of the Website Policies. Users are responsible for all activity that occurs on their account. Users must immediately notify The Sanctuary of any unauthorized use of their account, or any other account related security breach of which a user is aware.

2. License

All content included on the Site, such as works, images, button icons, pictures, dialogues, music, sounds, videos, documents, drawings, figures, logos, menus, web pages, graphics, colors, schemes, tools, fonts, designs, diagrams, layouts, methods, processes, functions and software (collectively, the “Content”), is the exclusive property of The Sanctuary, its affiliates, and/or its content suppliers, as applicable, and is protected by national and international copyright and other intellectual property laws.  Except as expressly permitted in these General Terms and Conditions of Use, you may not copy, reproduce, publish, distribute, display, modify, adapt, translate, transmit, download, upload, post, sell, rent, license, transfer, publicly perform, publicly display, mirror, frame, scrape, extract, wrap, create derivative works of, reverse engineer, decompile or disassemble any aspect of the Site or any of the Content, in whole or in part, in any form or by any means, whether manual or automatic, without the prior express written consent of The Sanctuary, its affiliates, and/or its content suppliers, as the case may be, in each specific instance.  You shall not use any keywords, metatags, meta-elements, hidden text or other equivalents using the name “The Sanctuary” or any other colorable equivalent without the prior express written consent of The Sanctuary.  The Sanctuary, its affiliates, and its content suppliers have the exclusive right to authorize or prohibit in their sole discretion any reproduction, publication, distribution, display, modification, creation of derivative work from, or exploitation in any way of, in whole or in part, the Content. The Sanctuary, its affiliates, and its content suppliers shall have the right, at any time, to claim the authorship of any Content posted on the Site and to object to any use, distortion or other modification of such Content.  Any reproduction, publication, distribution, display, modification, creation of derivative work from, or exploitation in any way of, the Content expressly authorized in writing by The Sanctuary, its affiliates, or its content suppliers shall be carried out by you for lawful purposes only and in compliance with all applicable laws. 

The viewing, printing or downloading of any Content from the Site grants you only a limited, revocable, nonexclusive and nontransferable license to (i) access and view the Site and Content, and (ii) copy, download and store the Content temporarily (e.g., in a temporary cache) to enable printing and/or offline viewing of such Content, solely for your personal, non-commercial use and not for resale, republication, distribution, assignment, sublicense, preparation of derivative works or other use.  No part of any Content may be reproduced in any form or incorporated into any information system, electronic or mechanical, other than for your personal use (but not for resale or redistribution).  You agree that with respect to any copy or download of the Content, you will reproduce and include all copyright and/or other proprietary notices included in such Content.  The licenses granted hereunder immediately terminate in the event of improper use of the Site and the Content.

Users acknowledge and agree that any and all misappropriation or misuse of the Content and/or any other information contained on the Site will cause irreparable harm to The Sanctuary and that in such event money damages will not constitute sufficient compensation to The Sanctuary.  Consequently, in the event that you, directly or indirectly, misappropriate or misuse the Content and/or any other information contained on the Site, you specifically consent to The Sanctuary obtaining injunctive relief against you in addition to any other legal or financial remedies to which The Sanctuary may be entitled.

3. Intellectual Property 

THE SANCTUARY is a trademark owned and registered by Worthy Beings, LLC.  All other trademarks, logos, trade names, domain names and other distinctive signs, copyrights and patents used in connection with the Site (collectively, the “Intellectual Property”) are property of Worthy Beings, LLC or its affiliates, subsidiaries or suppliers.  The Sanctuary and all other Intellectual Property owners have exclusive rights to use their respective Intellectual Property.  You are not granted any rights in or to the Intellectual Property, and you agree not to use the Intellectual Property without the prior written authorization of The Sanctuary or the applicable Intellectual Property owners.

Worthy Beings, LLC vigorously enforces its intellectual property rights to the fullest extent permitted by law.  Accordingly, Worthy Beings, LLC will prosecute any unauthorized use or reproduction of the Intellectual Property, any of the Content, databases used to store the Content and any other information contained therein that violate the protection afforded by the United States and international copyright law and trademark law, and/or other state, federal, and international laws and regulations, including laws pertaining to contracts, and privacy and publicity.

4. Intellectual Property Infringement Complaints

If you believe that your intellectual property rights have been violated in any manner by the Site, please provide written notice of the same to connect@thesanctuary.energy.

If notified of an allegation that the Site contains infringing information, materials or other content, we may investigate the allegation and determine in our sole discretion whether to remove or request the removal of such material from the Site.

5. Digital Millennium Copyright Act

Notwithstanding anything to the contrary contained in Section 4, if you are a copyright owner or an agent thereof and believe that any Content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing The Sanctuary with the following information in writing:

• A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
• Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
• Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
• Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an email address;
• A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

The Site may contain hyperlinks to other websites operated by unaffiliated third parties and which are in no way connected to the Site and contain information created, published, maintained or otherwise posted by such unaffiliated third parties.  The Sanctuary does not operate, control, monitor, endorse, or guarantee the accuracy or quality of the content, services or goods provided on third party websites.  The Sanctuary shall not be held liable, directly or indirectly, for the content of such websites or the policies adopted by them, including without limitation their privacy policies, and/or for any damages or injury resulting or arising from the content or access to such other websites.  Please carefully read the terms and conditions of use, terms and conditions of sale and privacy policies of any third-party websites you access from the Site, as these General Terms and Conditions of Use and the Privacy Policy do not apply to websites operated by third parties.  The Site provides links to other websites exclusively for its users’ convenience, and The Sanctuary does not recommend that its users access such third-party websites, and any such use of any third party website is at the user’s sole risk.  

7. User Submissions

From time to time, we may permit users to submit content to the Site. You hereby acknowledge and agree that by submitting remarks, comments, suggestions, ideas, graphics, feedback, edits, concepts, comments, photographs, illustrations and other materials (other than personal information and/or registration information) through the Site (individually and collectively, “Submissions”), you (i) grant us a nonexclusive, royalty-free, perpetual, transferable, irrevocable and fully sub-licensable right to use, reproduce, modify, adapt, translate, distribute, publish, create derivative works from and publicly display and perform such Submissions throughout the world in any media, now known or hereafter created, without attribution to you; (ii) grant us the right to pursue at law any person or entity that violates your and/or our rights in your Submissions; and (iii) forever waive any and all of your rights, including but not limited to moral rights, if any, in and to your Submissions, including, without limitation, any all rights or requirements of attribution or identification of you as the author of the Submission or any derivative thereof.  We reserve the right to remove any of your Submissions from the Site, in whole or in part, without notice to you, for any reason or no reason.

You are solely responsible for any Submissions you make and their accuracy and you agree to defend, at The Sanctuary’s option, and at your sole expense, indemnify and hold The Sanctuary, its affiliates and subsidiaries, and their respective employees, agents, representatives, successors and assigns harmless from any damages, losses, costs, or expenses, including attorneys’ fees, which The Sanctuary may incur as a result of your Submissions. We take no responsibility and assume no liability for any Submissions posted by you or any third party, and The Sanctuary does not endorse any statement, idea or representation contained in the Submissions, nor does it not guarantee the Submission’s accuracy, integrity or quality.

8. Disclaimer of Liability 

THE SITE AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SITE ARE PROVIDED BY THE SANCTUARY ON AN “AS IS”, “WHERE IS” AND “AS AVAILABLE” BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. 

YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK.  YOU SPECIFICALLY ACKNOWLEDGE THAT NEITHER THE SANCTUARY NOR ANY OF ITS AFFILIATES, NOR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS OR OTHER REPRESENTATIVES ARE LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT ANY RISK OF INJURY RELATED TO THE FOREGOING RESTS ENTIRELY WITH YOU.  WITHOUT LIMITING THE FOREGOING, THE SANCTUARY DOES NOT REPRESENT OR WARRANT THAT THE SITE IS SECURE, THE SITE OR THE SERVER SUPPORTING THE SITE WILL BE VIRUS-FREE, THE INFORMATION ON THE SITE IS ERROR-FREE, ACCURATE, COMPLETE, RELIABLE, USEFUL, TIMELY OR CURRENT OR THAT THE SITE WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

THE SANCTUARY’S PERFORMANCE UNDER THESE GENERAL TERMS AND CONDITIONS OF USE IS SUBJECT TO EXISTING LAWS AND LEGAL PROCESS, AND NOTHING CONTAINED HEREIN IS IN DEROGATION OF THE SANCTUARY’S RIGHT TO COMPLY WITH LAW ENFORCEMENT REQUESTS OR REQUIREMENTS RELATING TO YOUR USE OF THE SITE OR INFORMATION PROVIDED TO OR GATHERED BY THE SITE OPERATORS WITH RESPECT TO SUCH USE.

NOTWITHSTANDING THE FOREGOING, IN THE EVENT THAT THE SANCTUARY IS FOUND LIABLE IN RESPECT OF ANY LOSS, DAMAGE OR CAUSE OF ACTION (WHETHER CONTRACTUAL, EXTRA-CONTRACTUAL OR OTHERWISE) ARISING OUT OF OR IN CONNECTION WITH (I) THE WEBSITE POLICIES OR ANY OF THE FEATURES OR FUNCTIONALITIES OF THE SITE OR ITS CONTENT, OR YOUR USE OR INABILITY OF USE THEREOF, THE SANCTUARY’S LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR USE THEREOF OR ACCESS THERETO; OR (II) ANY PRODUCT SOLD THROUGH THE SITE, THE SANCTUARY’S LIABILITY SHALL BE STRICTLY LIMITED TO THE SALE PRICE OF THAT PRODUCT.

The Sanctuary may amend, remove or update all or any part of the Website Policies at any time in its sole discretion.  Any amendments or updates to the Website Policies shall be effective upon publication in their respective sections of the Site.  Please access the respective sections of the Site regularly in order to check whether the Website Policies have been updated.  Your continued use of the Site after the implementation of any changes will constitute your acceptance of such changes; provided, however, that The Sanctuary will not be obligated to inform you of any changes as they occur.

12. Miscellaneous

The Website Policies and their interpretation shall be governed by the laws of the State of California, without regard to its conflicts of law rules.  Any disputes hereunder shall be resolved in the courts of the State of California, County of Alameda. 

If any condition of any part of the Website Policies shall be deemed invalid, void or unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any other provision hereof or any term of the remaining Website Policies.  The headings contained herein are for purposes of convenience only and shall not control or affect the meaning or construction hereof.  The Website Policies constitute the entire agreement between you and The Sanctuary with respect to your use of the Site and the Content, and supersede any and all prior understandings or agreements between you and The Sanctuary, whether written or oral.  You acknowledge that, in providing you with access to and use of the Site and the Content, The Sanctuary has relied on your acceptance of these General Terms and Conditions of Use.

Terms of Sale

These General Terms and Conditions of Sale (these “Terms of Sale”) govern the sale of bags, accessories and apparel (the “Products”) by Worthy Beings, LLC. a company registered under the laws of California (“The Sanctuary” or “we”) on the website thesanctuary.energy (the “Site”).  The Products shall only be purchased for personal use, and not for resale or other commercial purposes, by users who are at least 18 years old (“Customers” or “you”).  

By placing an order for Products on the Site, you expressly accept the Website Policies (as defined below), and The Sanctuary’s acceptance of your order, and agreement to deliver the Products, is expressly conditioned on your acceptance of the Website Policies.  

1. Orders

All orders are subject to written acceptance by The Sanctuary.  Receipt and acceptance of an order, or rejection thereof, by The Sanctuary shall be confirmed by email sent to the email address indicated by the Customer when submitting the order.  If the order is accepted, the email order confirmation will include a summary of the purchase (i.e., price of the Product(s), shipping costs, sales tax and address to which the Product(s) will be shipped) and an order number, which must be used in all future communications with The Sanctuary regarding such order.  Once payment for the Product(s) has cleared and the order has shipped, you will receive a shipping confirmation e-mail.  This information may also be accessed through the “Orders” section of your account.

Orders shall be filled in the order in which they are received by The Sanctuary, subject to availability, and The Sanctuary reserves the right to make partial shipments of an order. 

The Sanctuary reserves the right, at any time for any reason, to cancel, refuse to process or refuse to accept an order, in whole or in part, even after an order confirmation has been sent to a Customer.  The Sanctuary shall not be liable to the Customer or any other third party for refusing to process or accept an order after the Customer has received an order confirmation.  In the event that The Sanctuary, for any reason, cannot fulfill, cancels or refuses to process an order that has already been accepted in writing by The Sanctuary, The Sanctuary shall notify the Customer in writing by email and refund the Customer any payment or portion thereof that The Sanctuary received for the applicable order or portion thereof.  If only certain Products ordered by the Customer are unavailable, any Products forming part of the same order which are still available will be shipped and charged to the Customer.    

2. Products

The only Products offered for sale by The Sanctuary are those shown on the Site.  The Sanctuary reserves the right to modify or discontinue any Product offered for sale on the Site without notice to the Customers at any time.  

Customers acknowledge and agree that all images shown on the product pages or other pages of the Site are shown for information purposes only and may not be wholly representative of the Products and their features.  Products may have variations from the images shown on the Site, including without limitation as a result of the different devices used to view the Site or browser settings.

3. Prices and Payment Methods 

All prices indicated on the Site shall be in U.S. Dollars, and shall be exclusive of applicable sales taxes and shipping charges.  All applicable sales taxes and shipping charges shall be added to the price at check-out, and the Customer shall have an opportunity to review all such charges prior to completing and submitting an order.  The amount of sales taxes and other charges shall depend on various factors, including, without limitation, the type of Product purchased, the price of the Product and the destination of the shipment.  Sales tax regulations may change between the time you place an order and the time payment is cleared, which may affect the calculation of sales taxes. The amount appearing on the checkout page may differ from the sales taxes ultimately charged, as indicated in the invoice you will receive with the shipping confirmation e-mail. 

We reserve the right to change the prices of any Products at any time without notice to you. Further, in the event that any items on the Site are mispriced, The Sanctuary shall have the right to refuse or cancel any orders placed for Products listed at the incorrect price, regardless of whether the Customer has received an order confirmation or paid for the order. If the order is cancelled by The Sanctuary after payment has already been made, The Sanctuary will promptly refund the amount of the incorrect price to the Customer.

The price of the Products, shipping and delivery costs and applicable sales taxes will be charged to your account when The Sanctuary is ready to ship the Products.  Products will not be shipped unless and until full payment has been received and cleared by The Sanctuary.  Payment for the Products may be made by credit card or debit card, or by other payment providers such as Klarna. All payments made through the Site are secure; for more information on The Sanctuary’s secure collection of your payment information, please visit our Privacy Policy.

At checkout, the Customer may apply any coupons or other promotional codes offered by The Sanctuary.  The system will automatically adjust the total order amount, deducting any discounts or allowances.  Any coupons or promotional codes may only be used in accordance with the terms provided upon issuance of the coupon or promotional code. Only one promotional code can be used per order and promotional codes cannot be transferred to others or redeemed for cash or credit.

4. Shipping 

The Sanctuary ships domestic and internationally, and information on the shipping locations offered can be found on the Shipping + Returns page.

Products shall be shipped to the address indicated by the Customer upon placing the order, as soon as reasonably practicable after The Sanctuary’s receipt of payment in full for the order.  

Generally, The Sanctuary ships within 72 to 96 business hours of receipt of payment in full; provided, however, that the shipment and delivery dates set forth in any order, order confirmation or in these Terms of Sale are estimates only and such estimates shall not be deemed a representation by The Sanctuary.  The Sanctuary shall not be liable for failure to ship or deliver the Products by the estimated delivery dates, and the Customer shall not be entitled to any refunds or cancellation of orders as a result of delayed shipment. Upon delivery of the Products to the applicable carrier, the risk of loss or damage shifts to the Customer.  Delivery is deemed complete and title to the Products passes to the Customer upon acceptance of the shipment by a common carrier.

THE PRODUCTS ARE PROVIDED “AS-IS” AND “AS AVAILABLE,” AND THE SANCTUARY MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE PRODUCTS, AND, TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, THE SANCTUARY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT, AND THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, WHICH EXTEND BEYOND THE DESCRIPTION OF THE PRODUCTS CONTAINED ON THE ORDER CONFIRMATION. 

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, IN NO EVENT WILL THE SANCTUARY BE LIABLE FOR ANY LOSS, DAMAGE OR CLAIM FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, REVENUE, OPPORTUNITY OR DATA, OR DELAY, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY. 

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.  

NOTWITHSTANDING THE FOREGOING, IN THE EVENT THAT THE SANCTUARY IS FOUND LIABLE IN RESPECT OF ANY LOSS, DAMAGE OR CAUSE OF ACTION (WHETHER CONTRACTUAL, EXTRA-CONTRACTUAL OR OTHERWISE) ARISING OUT OF OR IN CONNECTION WITH ANY PRODUCT, THE SANCTUARY’S LIABILITY SHALL BE STRICTLY LIMITED TO THE PRICE OF THAT PRODUCT. 

7. Force Majeure

The Sanctuary shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including, without limitation, acts of God, war, acts of terrorism, insurrections, riots, embargoes, fires, strikes, delays in transportation, epidemic, pandemic or other public health issue, inability to obtain supplies of raw materials or equipment used in the manufacture of the Products, failure of any party to perform any contract with The Sanctuary related to the production of the Products, blackouts or governmental laws, regulations, orders or actions.

9. Website Policies

For any other legal information concerning your access to, use of, or the way the Site may use and collect your personal information, please read the Site’s Return Policy, General Terms and Conditions of Use and Privacy Policy (together with these Terms of Sale, collectively, the “Website Policies”). 

The Sanctuary reserves the right to amend any portion of the Website Policies at any time and without prior notice to you; as such, please make sure you review the current Website Policies prior to making a purchase on the Site.  Any amendments or updates to any Website Policies shall be effective upon publication in their respective sections of the Site.

10. Miscellaneous 

These Terms of Sale and their interpretation shall be governed by the laws of the State of California without regard to its conflicts of law rules.  Any disputes hereunder shall be resolved in the courts of the State of California, County of Alameda.  The United Nations Convention on Contracts for the International Sale of Goods shall not apply to any purchase or sale hereunder. 

These Terms of Sale, together with the other Website Policies, shall constitute the entire agreement between you and The Sanctuary. The invalidity or unenforceability, in whole or in part, of any provision of these Terms of Sale shall not affect the validity or enforceability of any other provision hereof or any other term of the remaining Website Policies.  The headings contained herein are for purposes of convenience only and shall not control or affect the meaning or construction hereof.

Gift Card General Terms 

These The Sanctuary Gift Card Terms and Conditions (“Terms and Conditions”) apply in addition to the Terms of Use and Privacy Policy set forth on the TheSanctuary.energy website, which are expressly incorporated herein. For purposes of these Terms and Conditions, including the arbitration provision set forth below, the term “The Sanctuary” shall be interpreted broadly encompass Worthy Beings, LLC, and any of its predecessors, successors, assigns, parents, subsidiaries, affiliates, and each of their respective officers, directors, shareholders, employees, and agents.

IMPORTANT: THESE TERMS AND CONDITIONS CONTAIN A MANDATORY ARBITRATION PROVISION THAT, AS FURTHER SET FORTH BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES.  THIS MEANS THAT YOU AND THE SANCTUARY ARE EACH GIVING UP THE RIGHT TO SUE EACH OTHER IN COURT OR IN CLASS ACTIONS OF ANY KIND.  IN ARBITRATION, THERE IS NO JUDGE OR JURY AND THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT. 

Nonreturnable; not for resale.
Notwithstanding anything contained in these Terms and Conditions, The Sanctuary printed Gift Cards/ Gift Certificates and eGift Cards (“The Sanctuary Gift Cards”) are not returnable or refundable for cash except in states where required by law. Resale of The Sanctuary Gift Cards is strictly prohibited.

Liability.
The balance on any Gift Card is solely the liability of Worthy Beings, LLC.

Acceptance locations.
Unless other restrictions apply, The Sanctuary Gift Cards may be used at The Sanctuary brick-and-mortar location at 3344 Grand Avenue, Oakland, CA 94610; or on-line at thesanctuary.energy.

Not for promotional use.
The Sanctuary Gift Cards may be used as personal or business gifts, but may not be used in connection with any marketing, advertising or other promotional activities (including without limitation via websites, Internet advertisements, email, telemarketing, direct mail, newspaper and magazine advertisements, and radio and television broadcasts). If you are in need of a printed gift card or gift certificate, please email connect@thesanctuary.energy and an associate will contact you by the next business day, or call us at 1 (415-841-3914, Monday-Friday, 12:00 p.m. - 6:00 p.m. (PST).

No affiliation with The Sanctuary.
Use of The Sanctuary's name, logo, trade dress (including any image/likeness of the cards) or trademarks (or those of any of its subsidiaries or affiliates) in connection with the purchase or use of The Sanctuary Gift Cards is strictly prohibited. Furthermore, the use of The Sanctuary Gift Cards in any manner that states or implies that any person, website, business, product or service is endorsed or sponsored by, or otherwise affiliated with, The Sanctuary or any of its subsidiaries or affiliates is prohibited.

Compliance with laws.
By purchasing The Sanctuary Gift Cards, you are certifying and representing to The Sanctuary that the activities in connection with which the The Sanctuary Gift Cards will be used will comply with these Terms and Conditions and all applicable laws, rules and regulations, and that the The Sanctuary Gift Cards will not be used in any manner that is misleading, deceptive, unfair or otherwise harmful to consumers or The Sanctuary. In addition, you agree to defend and indemnify Worthy Beings, LLC. and its subsidiaries and affiliates from and against any claims, expenses or liabilities made against or incurred by any of them in connection with your use of the The Sanctuary Gift Cards or violation of any of these Terms and Conditions. Customers in Puerto Rico authorize The Sanctuary, strictly as required by law in cases of possible financial exploitation, to share personal information such as name, address, and transaction information with applicable government agencies pursuant to Regulation #9368.

Lost or Stolen Gift Card.
Lost or stolen cards will not be replaced. Neither The Sanctuary, thesanctuary.energy nor Worthy Beings, LLC shall have liability to you for (i) lost or stolen The Sanctuary Gift Cards or (ii) use of any The Sanctuary Gift Cards by third parties through your thesanctuary.energy account. You are solely responsible for keeping the password for your thesanctuary.energy account safe and for any activity conducted under your account.

Saving The Sanctuary Gift Card Information and Viewing Balance Terms and Conditions.

No Consolidation for New The Sanctuary Gift Card.
You may not consolidate or combine multiple The Sanctuary Gift Cards to purchase a new The Sanctuary Gift Card. Walmart.com does not consolidate or combine multiple gift cards into one gift card per customer requests.

Saving The Sanctuary Gift Card Information Does Not Redeem Card.
Saving The Sanctuary Gift Card information to your account does not redeem the value of the The Sanctuary Gift Card. Saving the information makes the The Sanctuary Gift Card available for selection without entering the The Sanctuary Gift Card number at the time of a purchase. It also allows you to more quickly check the available balance on the The Sanctuary Gift Card.

The Sanctuary Gift Cards Do Not Expire.
The Sanctuary gift cards never expire. 

Disputes & Arbitration

PLEASE READ THIS SECTION CAREFULLY.  IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.  This arbitration provision provides that you and Worthy Beings, LLC. waive any right to file a lawsuit in court or participate in a class action for matters within its terms.

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS OR ANY ASPECT OF THE RELATIONSHIP BETWEEN YOU AND THE SANCTUARY(INCLUDING ANY PRODUCTS OR SERVICES OFFERED OR SOLD BY THE SANCTUARY), WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION, OR ANY OTHER LEGAL THEORY, WILL BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION BEFORE A NEUTRAL, SINGLE ARBITRATOR INSTEAD OF IN A COURT BY A JUDGE OR JURY, AND YOU AGREE THAT THE SANCTUARY AND YOU ARE EACH WAIVING THE RIGHT TO SUE IN COURT AND TO HAVE A TRIAL BY A JURY.   DISPUTE SHALL BE INTERPRETED AS BROADLY AS PERMITTED UNDER THE LAW AND SHALL COVER ANY CLAIMS THAT AROSE BEFORE THESE OR ANY PRIOR TERMS AND CONDITIONS.  YOU AGREE THAT ANY ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS; AS SET FORTH BELOW, CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED AND YOU ARE AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION.  

The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate.  Any in-person appearances will be held at a location that is reasonably convenient to you.  The arbitrator will follow these Terms and Conditions and his or her award will be final and binding.  Notwithstanding any of the foregoing, nothing in these Terms and Conditions will preclude you from bringing issues to the attention of federal, state, or local agencies and, if the law allows, they can seek relief against us for you.

THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR LITIGATED ON A CLASS ACTION, JOINT, OR CONSOLIDATED BASIS OR ON BASES INVOLVING CLAIMS BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC (SUCH AS A PRIVATE ATTORNEY GENERAL), OTHER THE SANCTUARY CUSTOMERS, OR OTHER PERSONS.  THE ARBITRATOR MAY AWARD RELIEF ONLY ON FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT INDIVIDUAL PARTY’S CLAIM.  THE ARBITRATOR MAY NOT AWARD RELIEF FOR OR AGAINST ANYONE WHO IS NOT A PARTY.  THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.  THIS WAIVER OF CLASS ACTIONS AND COLLECTIVE RELIEF PARAGRAPH IS AN ESSENTIAL PART OF THIS ARBITRATION PROVISION AND CANNOT BE SEVERED FROM IT.  THE REMAINING PORTIONS OF THIS ARBITRATION PROVISION ARE NOT ESSENTIAL PARTS OF THIS ARBITRATION PROVISION AND CAN BE SEVERED FROM IT BY A COURT OF COMPETENT JURISDICTION.  NOTWITHSTANDING THE FOREGOING, IF A COURT DETERMINES THAT PUBLIC INJUNCTIVE RELIEF MAY NOT BE WAIVED AND ALL APPEALS FROM THAT DECISION HAVE BEEN EXHAUSTED, THEN THE PARTIES AGREE THAT THIS ARBITRATION PROVISION SHALL SURVIVE AND ANY CLAIM FOR PUBLIC INJUNCTIVE RELIEF SHALL BE STAYED PENDING ARBITRATION OF THE REMAINING CLAIMS.  

This arbitration provision shall survive any termination of these Terms and Conditions.  Any amendments to this arbitration provision shall not affect any pending asserted claim or arbitration proceeding.    

Applicable Law
The law applicable to the interpretation and construction of these Terms and Conditions in any arbitration shall be the Federal Arbitration Act, applicable federal laws, and the laws of the State of California without regard to principles of conflicts of laws.  If any dispute is found not to be arbitrable, then ordinary choice of law rules will apply in any court proceeding in which the matter is adjudicated. 

Updates to Terms and Conditions
These The Sanctuary Gift Card Terms and Conditions were last updated on the October 30, 2024. The Sanctuary may update these Terms and Conditions at any time. We recommend that you check these Terms and Conditions periodically for changes.  In the event of a conflict between these Terms and Conditions and thesanctuary.energy Terms of Use, these Terms and Conditions will govern.
